Terms of Service

By creating an account, accessing, or using HitTheBid ("Service," "Platform," "we," "us," or "our"), you ("User," "you," or "your") agree to these Terms, our Privacy Policy, and any additional terms that may apply to specific features or services.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

HitTheBid provides order flow visualization tools, educational content, trade journaling, and market replay features for traders. The Service includes:

• Real-time and historical order flow data visualization
• Educational modules and trading tutorials
• Trade journaling and performance analytics
• Market replay functionality for practice
• Custom strategy configuration tools

Features may vary based on your subscription tier. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

Free Tier: Basic access to educational content and limited features at no cost.

Paid Subscriptions: Pro and Power tiers are billed on a recurring basis (monthly or annually). By subscribing, you authorize us to charge your payment method automatically.

Pricing Changes: We may modify pricing with 30 days' notice. Existing subscribers retain their current rate until the end of their billing period.

Cancellation: You may cancel anytime through your account settings. Access continues until the end of your current billing period. No partial refunds for monthly plans.

Annual Refunds: Annual subscriptions are eligible for a prorated refund within the first 30 days. Contact support for assistance.

Failed Payments: If payment fails, we may suspend access until the issue is resolved. We'll attempt to notify you before suspension.

You agree NOT to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the Service
• Share your account credentials or allow unauthorized access
• Use automated tools to scrape, crawl, or extract data
• Redistribute, resell, or sublicense our content or data
• Interfere with the proper functioning of the Service
• Harass, abuse, or harm other users
• Upload malicious code or content

Violation of these rules may result in immediate account termination without refund.

All content, features, and functionality of the Service—including but not limited to text, graphics, logos, icons, images, audio, video, software, and data compilations—are owned by HitTheBid or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes only.

Your Content: You retain ownership of any content you submit (trade notes, journal entries, etc.). By submitting content, you grant us a license to store and process it as necessary to provide the Service.

The Service may integrate with or link to third-party services (market data providers, payment processors, etc.). We are not responsible for the content, privacy practices, or policies of third parties.

Your use of third-party services is subject to their respective terms and conditions.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy or reliability of any market data, analysis, or results obtained through the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HITTHEBID AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, TRADING LOSSES, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow limitations on implied warranties or liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless HitTheBid and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on the platform at least 30 days before taking effect.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (disclaimers, limitations of liability, indemnification) shall survive.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.

Entire Agreement: These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and HitTheBid.

Assignment: You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.
